Casual Male Retail Group Inc, which operates the Casual Male Big & Tall stores is to buy  Rochester Big & Tall Inc for $15 million, along with the assumption of bank and subordinated debt of approximately £5m.

Casual Male Big & Tall currently sells Rochester upmarket branded men's wear, and is the exclusive retailer of George Foreman's clothing collection.

The company said in a statement that the deal includes a potential payment, over a three-year period, of an extra $4m, depending on an earn-out provision.

The acquisition should be closed by 31 October 2004.

Chairman of casual male retail group Inc, Seymour Holtzman said:  "The acquisition of Rochester provides an incredible opportunity to expand our business into the higher end of the big and tall market, and increase our market share in this highly fragmented industry.

"This is another step in our plan to transform Casual Male into a company of global significance."

President and chief executive officer of 1906-established Rochester, Robert Sockolov, will join Casual Male's board of directors at the close of the deal.

Rochester recorded sales for the year ended 30 June of $65m, and an operating income of between $2m and $2.5m.

Casual Male Retail Group sells big and tall-sized men's wear, operating 489 Casual Male Big & Tall Stores amongst other businesses.
