
As reported by The Telegraph on 8 August 2025, Boohoo’s founder attempted to recover a £100,000 personal debt by deducting a portion from payments made to one of its denim suppliers.
Through their legal advisers, White & Case, Frasers Group sent a letter to Boohoo chairman Tim Morris, urging an immediate investigation into Kamani’s conduct.
The letter states: “Given the seriousness of the matters which have now been published by the Telegraph, Frasers requests urgent reassurance from you that you will arrange for these matters to be properly and independently investigated. This letter has been sent to you directly due to the seriousness of the issues raised with regards to the conduct of Mr Kamani.
“Frasers considers that it is extremely important you take immediate legal advice as to the most appropriate way to have these issues investigated to ensure that you deal with them in accordance with all applicable laws.”
The Telegraph’s article alleged that Kamani facilitated loans to Boohoo suppliers via other companies he co-owns, including Pinstripe Clothing, now operating as Pinstripe Property.
It was suggested that repayments of these loans were improperly routed from Boohoo funds into Kamani’s personal accounts or those of his other businesses.

By GlobalData“These allegations are very serious and damaging to the reputation of boohoo. If proven, it appears that Kamani may have breached his duties as a director of Boohoo and could also have committed various criminal offences,” the letter also reads.
The letter cited the possibility that Kamani may have violated his directorial duties under the Companies Act 2006. It also cited potential criminal offences under the Fraud Act 2006 and Theft Act 1968 related to dishonesty and abuse of position.
Shareholders voted against the resolution proposed by Frasers Group at a general meeting on 21 January 2025.
Furthermore, attempts by Frasers Group to appoint its founder Mike Ashley and insolvency expert Mike Lennon as directors were also rejected at Boohoo’s AGM on 20 December 2024.
Despite opposition from major shareholder Frasers Group, Boohoo Group also proceeded with its Debenhams Group rebrand after securing majority support at the annual meeting on 28 March.
